Fractional General Counsel

Mr. Kraus is a 3x public company GC, having established and organized the in-house legal department at three different dual-listed public companies in the United States and Canada in the last 10 years.   

Mr. Kraus can offer his GC expertise to your company an outsourced basis, and at fraction of the cost of either hiring a full-time executive-level general counsel or paying 'big city" law firm hourly rates. 

Clients get day-to-day access to Mr. Kraus for a flat fee that covers the specified day-to-day advice, without extra charges for every project, phone call, meeting etc. Mr. Kraus is available to his Fractional GC clients during normal business hours, and after-hours in the case of emergencies.

Fractional GC services may include:

• business, corporate, employment, and human resources issues
• non-compete and confidentiality issues
• basic contract or document review and advice
• problem solving
• litigation prevention and negotiation
• board and governance support (attending meetings, taking minutes etc)

Our Fractional GC services are provided under an alternative fee model that permits clients to budget and manage legal expenses with a higher degree of certainty. Typically, this is a fixed monthly retainer that covers all services provided within the scope of the engagement.  The scope and cost of the retainer is mutually determined, based on the complexity of the business, the issues to be addressed, and the duration of the engagement.  

While the relationship is one of independent contractor, companies are free to use internal resources (e.g. Company email address) for confidentiality / protocol / reputational purposes.
